This role is an integral part of the global PMI (post-merger integration) team, and you will be a key driver for actively shaping the future business portfolio of Lonza: You will be in charge of (1) developing and codifying the organizational integration and carve-out capabilities together with the global PMI team and (2) support and/or lead integration and carve-out projects in order to maximize value from M&A transactions.

Key Responsibilities
  • Develop and codify the needed organizational integration capabilities for Lonza across people, technology, process, and governance dimensions.
  • Provides coaching for integration projects including program setup, planning phase and execution. Supports the cross-functional internal integration team and external consultants. Ensures that all relevant integration aspects are covered end to end, including processes, structure, culture, and management.
  • Provides advice for carve-out projects and teams. Applies a structured approach to minimize business disruption while maximizing the value for prospective buyers and to ensure business continuity from day one.
  • Supports negotiations and agreements with buyers & sellers in accordance with given mandate from management (e.g., SPA/APA, ancillary agreements, TSA). Deals with investors, investment banks, lawyers, and other external stakeholders.
  • Provides updates, makes recommendations and obtains buy-in from management– be it related to integration, carve-out projects, M&A or other matters.
  • As required, supports acquisitions and divestments by covering all phases of the M&A process, including due diligence, signing of contract and closing the deal. Supports the cross-functional internal project team(s) as well as external consultants. Manages all relevant transaction activities (e.g., valuation, deal structuring, contract negotiations with seller/buyer, closing statements).
Key Requirements
  • Experience in PMI, carve-outs and /or M&A, either in corporate, strategic consulting, Big4 or investment banking; wide array of financial, HR, IT, commercial, and operational exposure
  • Excellent analytical skills and distinguished financial expertise.
  • Profound understanding of the industry and the macro-economic environment.
  • Excellent leadership, problem solving, project management, negotiation and interpersonal skills.
