JOB PURPOSE The Corporate Legal Department based in Geneva handles the company legal matters and carries out all activities directly or in coordination with legal teams located in different parts of the world. It offers legal assistance to top management on strategic decisions, supports business units both on special projects and day-by-day legal issues, reviews contracts and handles legal disputes.

We are looking for a Corporate Lawyer to join the Corporate Legal Department at its Head Office in Geneva (Switzerland). The candidate is a corporate/commercial lawyer able to support a fast-paced, demanding environment driven by the dynamic and highly diversified growth of the company, with solid experience in commercial contracts, projects and corporate transactions. Excellent drafting and communication skills needed.


KEY ACCOUNTABILITIES

• Assists, taking an active part, in the management of the legal aspects of complex, strategic and high value projects, including cruise terminal development, M&A (SPA, JV, SPV set-up and follow-up), as well as construction;

• Drafts, revises and negotiates commercial contracts and agreements with legal counterparts on the main activities of the group, taking responsibility up to final delivery;

• Provides commercially focused, concise, legal advice on different areas of law (including commercial, corporate, transport, shipping and/or EU law) and ensure the company operates in compliance with regulatory requirements and applicable laws;

• Oversees dispute resolution matters (litigation, mediation, arbitration, etc.) of the assigned projects in various jurisdictions; •Assists with company and group corporate governance and company secretarial matters;

•Actively contributes to the legal team’s ongoing development of knowledge, skills and departmental processes and develops training materials;•Engages and manages external counsel effectively and monitors relevant costs.


QUALIFICATIONS

• Perfect command of English (spoken and written). Knowledge of Italian is a preferred asset and any additional language is an advantage;

• Law degree. LLM or other post-graduate qualification is an advantage;

• At least 6 years’ PQE in commercial law firm or in-house in an international environment. Ideally, the candidate will have both law firm and corporate experience in a multinational company;

• Experience of construction matters in various jurisdictions and the main forms of contract (FIDIC, AIA, etc.), as well as project financing, would be advantageous;

• Admission to the bar or equivalent qualification in a European country or in the U.S. or special studies for in-house lawyer is a strong preference. Qualification as an English solicitor or QLTS exam is an additional qualifying asset;

• Highly familiar with main IT office and legal tools (Word, Excel, PPT, Legal Databases);

• Outstanding verbal communication, drafting and negotiation skills;•Can do attitude, pro-active, customer oriented, resilient, flexible, adaptable, eager to continually learn and develop professionally;

• Ability to organize, prioritize and manage deadlines, in a fast paced, rapidly evolving and demanding industry and work environment;

• Proven ability to work as part of a team in a cross-functional, international environment and communicate with people at all levels;

• Ability to develop and maintain strong working relationships with demanding internal clients;

• Proven ability to work collaboratively in a cross-functional environment and communicate with people at all levels;
