The Head Corporate Legal is responsible for Sonova’s corporate governance, securities and equity issues and activities. She/He must ensure that all our company’s activities comply with applicable laws and regulations, at listed company level and otherwise.

Your tasks
  • Responsible for and provide advice to the Board of Directors and Committees on corporate governance and Corporate Legal Affairs at the listed company and local group levels
  • Responsible for Global Corporate housekeeping
  • Preparing, managing, implementing required regulatory filings, corporate governance and related policies in all areas including Swiss stock exchange
  • Managing all legal tasks in connection with the AGM of Sonova Holding AG (and EGM as required)
  • Supporting the preparation of the annual report, particularly the compensation report, and responsible for the preparation of the Corporate Governance Report
  • Collaborating with / supporting finance, tax, treasury, compliance, data privacy, and other in-house functions
  • Responsible for the implementation of all trading restrictions and blackouts
  • Supervising filings or notifications to the relevant regulatory authorities including ensuring that corporate records are updated as appropriate
  • Supervising the maintenance of the Authorized Signatory Lists for all group entities world-wide and including the delegating of authorities
  • Maintain an accessible central depository of corporate related matters (i.e. responsible for the maintenance of the legal entity tracking software)
  • Support the deployment of equity or debt financial instruments (including share repurchase and issuance of bonds or commercial papers)
  • Manage corporate matters, from registration to liquidation of legal entities globally, including mergers and combination in collaboration with tax, local management and outside counsels
  • Directly assist the Group General counsel in its corporate secretarial function and provide relevant regulatory information

Your profile
  • Master degree in Law and ideally admission to the Swiss bar
  • 8+ years relevant work experience in a law firm or inhouse
  • Able to demonstrate substantial global experience in corporate governance matters
  • Experience in corporate law and governance, Swiss public company law, contract law and financial instruments
  • Tangible experience dealing with investors, equity issues and activities
  • Experience of dealing with senior executive, including CEO and CFO
  • Executive presence in working with the Board of Directors and Committees and managing conflicting priorities
  • Strong corporate acumen, organized, driven and pragmatic with sharp attention to details and deadlines
