Your mission

Reporting to the head of M&A, your focus will be on identifying and managing the legal and transaction structuring challenges along the M&A life cycle. This will result in the drafting and review of NDA, letter of intent, legal due diligence report and transaction agreement.

This position offers extensive interactions with many key stakeholders such as external legal advisors, internal legal advisors as well as with strategic intra-group departments (e.g. finance, commercial, Tech, SEO, HR).

In this position, you will get exposure to cross-border acquisitions, divestments, and post-transaction integrations considerations. To be successful in this role, you will need excellent organizational and communication skills, great attention to detail and the ability to balance competing priorities.


What you’ll do

Key Responsibilities

  • Advise on M&A transactions, joint-ventures and other major contracts and projects.
  • Prepare, review and negotiate all types of contracts (e.g., letter of intent, asset purchase agreements, SPA, transition service agreement etc.) and other legally relevant documents, incl. relevant standards, templates and policies.
  • Perform legal due diligence on M&A targets and provide recommendations on transaction structuring.
  • Provide professional, pro-active advice and support to the Board of Directors, senior management and staff for the group including all its affiliates on a wide range of commercial and strategic legal issues.
  • Support the business strategy and operations, while acting as trusted professional and value adding business partner.
  • Provide transactional compliance support, the candidate needs to ensure all transactions are in compliance with statutory laws and regulations, company policies and industry standards.
  • Represent the group towards external authorities and other organizations in the context of M&A transactions.
  • Manage external M&A related claims, litigations and arbitrations, with a strategic approach to the underlying dispute.
  • Select, instruct and monitor external lawyers and other consultants.
  • Monitor legislation and jurisdiction that could affect the group’s M&A activity, and propose and implement relevant action and policies to ensure compliance therewith.
  • Respect and uphold the group’s values and commitment.



What you’ll bring

  • Law degree (Master) from a continental European university; bar exam, LL.M., MBA and/or a similar degree would be a plus.
  • Fluency in English; any additional European language(s) would be a plus.
  • At least 5-7 years’ experience in Legal & M&A roles, gained in-house (ideally at a multinational high-tech group), or at a renowned, international law firm, other consulting firm or investment bank advising multinational high-tech clients.
  • Solid M&A and transaction structuring experience.
  • Strong interpersonal, communication and negotiation skills. Efficient and pragmatic working style, proactive, goal-oriented and solution-driven (can-do attitude), entrepreneurial approach. Willingness to work in an international environment.
  • Ability to analyse business requirements from a Legal & Compliance perspective and transform into actions and guidelines.
  • Experience in managing a workload with conflicting priorities.
  • MUST have valid working permission in CH.
