Legal Analyst – Corporate Governance

We are currently looking for a Legal Analyst to join our Corporate Secretary team within Legal, based in our Operations Centre, Lausanne to work on Corporate Governance matters. Here you will play an active role in the biggest transformation in the history of our company.

In this position you will be working under the supervision of Counsel or Assistant General Counsel to perform a variety of moderately complex to complex legal matters and projects on a range of governance law matters. You will be responsible for providing efficient and effective support to PMI subsidiaries, internal management committees and working with the Corporate Secretary to support governance activities of the JVs and subsidiaries, as well as to provide general governance advice and guidance.

Key Responsibilities

  • Draft, review and execute corporate documents such as powers of attorney, certificates, board and shareholder minutes and resolutions.
  • Coordinate the registration process of corporate documents at Commercial Registries and be in charge of the legalization process.
  • Coordinate with the business and external stakeholders the preparation and filing of corporate documents and related meetings.
  • Manage requests from market lawyers relating mostly to corporate governance of their respective affiliates.
  • Maintain minutes’ books and corporate records, both electronic and physical, including Board and Shareholders’ minutes, authorized signatories, powers of attorney and Directors & Officers lists.
  • Provide support to the group including filings, maintenance of databases and digital platforms.
  • Monitor and process invoices on behalf of the team budget and support in the budget control of the team.
  • Support to the Corporate Governance team in ad-hoc tasks in cross-functional and complex Projects.

  • Who we’re looking for

  • Minimum 3 years experience in a law firm, multinational corporation’s legal department, notary office or equivalent environment with familiarity with corporate documents and interacting with external stakeholders, such as notaries, registries, et.
  • Well-developed drafting skills as well as excellent written and oral communications skills in English and French.
  • Ability to communicate effectively and independently with multiple clients and external stakeholders, such as notaries and commercial registries
  • Ability to work on multiple tasks independently with minimal supervision, under time sensitive deadlines.
  • Excellent organizational skills required for handling large volume of work and tight deadlines.
  • Attention to detail, ability to prioritize and to work under pressure.
  • Position requires a high degree of accuracy, accountability and ability to maintain confidentiality.
