In relation to the support of the executive board, an international company in the Zurich-region is currently searching for a committed Interim Legal Director 100% (f/m/d) with immediate start. This opportunity has arisen for the Legal Director to ensure that all companys`activities comply with applicable laws & regulations. This vacancy is a full-time role with an assignment duration of three to six months.

During this assignment you will be responsible for companys`corporate governance, securities, equity issues and activities.
You will also provide advice to the Board of Directors and Committees on Corporate Governance and Corporate Legal Affairs at the listed company and local group levels.

Key responsibilities:

• preparing, managing, implementing required regulatory filings, corporate governance and related policies in all areas including swiss stock exchange
• supporting the preparation of the Annual Report, particularly the Compensation Report as well as the Corporate Governance Report
• supervising the maintenance of Authorised Signatory Lists for all group entities world-wide, including the delegation of authorities
• responding on the deployment of equity or debt financial instruments
• managing corporate matters, from registration to liquidation of legal entities globally, including mergers & combination in collaboration with tax, local management and outside counsels
• assisting the Group GC in its corporate secretarial function and proving relevant regulatory information

Profile:

• several years of professional experience in a law firm or in-house
• admission to the bar in Switzerland is considered as mandatory
• a solution-oriented lawyer with ability to demonstrate global experience in global corporate governance matters
• tangible experience in dealing with investors, equity issues and activities
• fluent in German & English is mandatory, any other languages are considered as an asset
