Group Legal Manager

JOB OBJECTIVE

Lead and manage the legal function, ensuring mci group’s compliance with all relevant laws and regulations. Develop and implement legal policies and procedures, assist Group Data Protection Officer (DPO, Risk & Compliance Officer) and Privacy Referents, update and maintain the legal and statutory documentation relating to mci group and its entities, and provide legal support to operational teams.

MAIN RESPONSIBILITIES

Legal Affairs Management

• Review, draft and negotiate contracts, agreements, data processing agreements and legal documents.
• Provide legal counsel on various business matters.
• Represent the company in legal discussions, negotiations and disputes.
• Raise awareness and provide legal training to staff.

Regulation monitoring & compliance

• Monitor changes in main national and international regulations to ensure mci group’s compliance, such as intellectual property, data protection, artificial intelligence, fin-tech, digital law, sustainability, commercial law and Web3.
• Establish internal policies and procedures to meet legal requirements.
• Work jointly with all relevant departments to implement policies and procedures and take part in the drafting of reports.

Data Protection support

• Assist the Group Data Protection Officer in:
• Records of processing maintenance.
• Local entities privacy compliance review.
• Legitimate interest assessments and Privacy Impact Assessments.
• Handling data subjects’ requests.
• Privacy Referents Community animation.
• Annual PIMS controls.
• Privacy regulation monitoring.

Group legal track recoding Governance

• Develop, implement and maintain mci group’s corporate governance framework and policies.
• Maintain and regularly update the Group and Local Dataroom.
• Responding to KYC enquiries and maintenance of UBOs’ database.
• Legal support to Shareholders Register Supervisor.
• Manage and order legal documents.
• Coordinate requests with the notaries.

Insurances

• Collaborate with management on Insurance policies.
• Maintain the Group and Local insurances inventory.
• Coordinate the Group insurance policies renewal and claims handling.

ISMS-PIMS

• Assist the ISMS-PIMS committee regarding ISO 27001 & 27701 implementation and its maintenance.

Strategic Advice

• Provide strategic legal counsel to Management.
• Participate in the planning and execution of major company projects, assessing legal implications.

DESCRIPTION OF THE RELATIONSHIPS

• The Group Legal Manager is part of the HQ Finance Department supervised by the Group Chief Finance Officer.
• He/She will be directly managed by the DPO, Risk & Compliance Officer.

JOB REQUIREMENTS

• Master’s Degree in Law, additional certification is an asset,
• 3 years of proven experience as legal counsel, ideally in governance, data protection and IT law,
• Experience in an international environment,
• Detail oriented mindset
• Honesty and integrity,
• High degree of professionalism and ability to communicate clearly with different stakeholders,
• Excellent drafting skills,
• Self-motivated,
• Innovative mindset,
• Fluency in English and French, additional languages a plus,
• Knowledge of the Pack Office Microsoft and Sharepoint.
