You will provide legal advice and services as a key member of the Corporate team in the Finance and Subsidiary Governance group. This group manages and supervises corporate structuring projects worldwide, working closely with tax, controllership, treasury, and finance to achieve multiple corporate objectives. Your work will range from the simple to the complex and you will work closely with HP lawyers, executives, and colleagues around the globe.

Responsibilities:

  • Provide legal advice and pragmatic leadership for the planning, structuring and implementation of complex multi‐jurisdictional organizational and corporate transactions (across civil and common law jurisdictions), including restructurings, reorganizations, cross‐border mergers, integrations, incubations of new business projects, consolidations, and rationalization projects.

  • Provide legal advice and strategic counselling to corporate functions (including business segments, real estate, tax and treasury) to achieve multi-jurisdictional and cross‐functional corporate and commercial goals (such as strategic initiatives, cash flows, and structuring of international operations) and to ensure best options are considered.

  • Advise on and close financing, leasing and banking transactions and initiatives to meet cashflow and business goals.

  • Assist internal business, tax, and treasury teams with risk identification and assessment; advise how to mitigate risk while achieving desired objectives.

  • Structure, draft and finalize different types of corporate documentation and financial transactions.

  • Manage and direct outside counsels and other consultants as appropriate.

  • Collaborate with subject matter experts in legal, tax, controllership, finance, and intellectual property including managing roles and responsibilities of each.

  • Successfully track and ensure compliance with corporate governance legalities within mandatory deadlines for holding and operating companies, including oversight of such projects to ensure successful worldwide corporate operations.

  • Design and implement centralized and innovative work processes and solutions to simplify workflow and promote efficient resource use

  • In some cases, act as secretary to board of entities or otherwise as directed.

  • Primary regions of responsibility will be APJ, US and India though projects and initiatives require worldwide efforts.

  • Collaborate with worldwide legal staff outside immediate team to promote and ensure awareness of corporate governance goals and responsibilities

  • Engage in outreach within legal department to optimize teamwork and utilization of skill and talents of legal colleagues. Mentor and share expert knowledge with team.

Education and Experience Required:

  • Advanced university degree in law (for example, J.D. or LLB) from recognized European university.

  • Admission to a bar/solicitors roll in Europe.

  • 5+ years legal experience at a law firm or in-house in relevant practice areas. Mix of law firm and in-house experience a plus.

  • Knowledge and experience in corporate law, corporate compliance and company secretariat.

Knowledge and Skills:

  • General breadth of knowledge and demonstrated practical experience within specified legal concentration.

  • Effective legal communication skills (written, verbal, active listening).

  • Developing experience addressing legal matters.

  • Strong communication and negotiation skills and experience.

  • English mandatory, second and third European languages are a plus.

  • Demonstrated ability in managing projects, balancing competing priorities and deadline driven work.

  • Excellent presentation, facilitation, and networking skills.

  • A proactive approach to recognizing needs, anticipating issues, and solving problems.

  • Willingness to tackle different projects outside specific job role to learn areas of impact and enhance ability to serve as liaison to cross-functional teams.
