Join our GF_Legal, Compliance and Risk Management team within Group Functions division in Switzerland as Senior Legal Counsel, M&A & Corporate to help us take Group Legal to the next level.
In this role you will be accountable for:
M&A specific tasks-
- Representation of Group Legal in M&A projects, including the coordination of internal teams and external partners, and with the involvement of the Executive Committee and Board.
- Supervision of M&A projects throughout the entire process (Letter of Intent / Due Diligence / Drafting / Negotiation / Signing of Agreements / Closing of Transaction incl. PMI).
- Analysis and control of legal risks, and implementation of legal requirements from a corporate and stock exchange viewpoint.
- Participation in contract negotiations together with both sales and procurement. Editing contracts, as well as checking and commenting of contractual conditions.
- Support in the defense against liability claims, processing of justified claims from both customers and suppliers.
- Development and implementation of company guidelines and regulations.
- Observation and analysis of relevant legal developments.
- MLaw as well as Swiss (or foreign) bar exam as well as at least 4-6 years of international professional experience in a renowned law firm or in the legal department of a listed company.
- Experience in international M&A transactions and in-depth knowledge of contract law and Swiss company and stock exchange law; knowledge of foreign legal systems / legislations desired.
- Willingness and interest to work closely with business functions and contribute directly to the group’s commercial success.
- Flair for technical products and services, experience in working with (senior) business leaders on an international basis.
- Communicative personality with quick comprehension and interest in new issues.
- Proactive with a “hands-on” attitude and a sense of practical solutions.
- Ability to deliver results under time pressure, to take responsibility for decisions and to set priorities correctly.
- Business fluent in German and English (written and oral), additional foreign languages are desirable.
