Our mission is to help professionals advance their businesses and gain competitive advantage with the trusted answers only we can provide.About The RoleThe Associate General Counsel will play a key role in supporting Program objectives and goals for 2023 and beyond. This individual will report to General Counsel (TREC) and Chief Compliance Officer and will be a critical member of the team. The role will have people management responsibilities, and as Associate General Counsel of Compliance you will be responsible for the following:
  • Provide legal support in areas related to Swiss compliance laws and regulations, including tax, finance, corporate governance, privacy and data protection, and other regulatory laws and guidance that impact the entity;
  • Draft and manage intercompany contracts or agreements;
  • Work closely with IP counsel on transfers, trademarks, copyrights, litigation, and other matters;
  • Work closely with other counsel and stakeholders on Corporate Governance, Mergers, and Acquisitions
  • Review various other agreements for TREC legal/regulatory compliance, such as acquisitions, mergers, and IP transfer agreements; foreign registrations, loan repayments, transfer pricing, suspension of rights, etc.;
  • Draft and review policy relating to TREC compliance;
  • Participate in and help organize stakeholder meetings, as well as TREC Board and Committee meetings;
  • Participate in auditing and monitoring activities, including reporting;
  • Work w/ TR’s Privacy team to respond to internal and external questions concerning Data Subject Access Requests or other requests for information;
  • Communicate regularly and effectively with key stakeholders, and aid TR stakeholders in assessing legal risks;
  • Research regulatory changes, enforcement activity and other relevant issues that may impact TREC-related activity and growth, and communicate/educate the team and other staff on your findings, as directed;
  • Assist with priority and project-specific tasks and reporting, including Mergers and Acquisitions, Integration, and Litigation; and
  • Manage matters with outside counsel, as appropriate.
About YouTo be considered for the role of Associate General Counsel of TREC Compliance, you will have at least 10 years in practice (PQE) which should include:Legal And Regulatory Skills & Experience In
  • Intellectual Property, contracts, technology M&A, tax, and financial compliance, and related litigation;
  • Swiss tax and financial compliance; and
  • Knowledge of Swiss and EU privacy/data protection laws a plus.
The ideal candidate will have most of the following commercial skills & experiences:
  • Business-minded, detail-oriented, and a strategic thinker;
  • Excellent written and verbal communication; skill in policy drafting;
  • Experience with legal research and analyses;
  • Experience using, analyzing, and integrating software/tools/systems to increase program automation and efficiency;
  • Ability to analyze and make Program-related process and policy recommendations in order to address gaps, increase automation and efficiency, and mitigate legal risks;
  • Strong project management/organizational skills;
  • Adaptable, collaborative, and willing to learn;
  • Ability to assist with training content and e-Learning platforms;
  • Skill/interest in contract reviews and negotiations;
  • Ability to identify, assess, and mitigate risks, as well as make risk-based decisions;
  • Skill/interest in working with product/application developers and beta testing;
  • Professional or fluency in the English language; and
  • Ability to speak and write in German/Swiss German is a plus but not required.
Qualifications And AdmissionAdmissions
  • Admitted to a bar in Switzerland; OR
  • Admitted to a bar or roll in another jurisdiction, but coupled with significant experience working with Swiss compliance laws and regulations.
Education
  • Law Degree or equivalent (from an accredited Law School) is required;
  • Undergraduate degree in Legal Studies, Political Science, Engineering, Computer Science, Systems, Business or related scientific/technical field is a plus; and
  • Tax, Finance and Accounting, and/or Compliance certifications a plus.
